HLB has announced its merger with its subsidiary, HLB Life Science, to simplify its corporate structure, enhance management efficiency, and maximize shareholder value. The boards of both companies approved the merger on April 1, with HLB issuing new shares to HLB Life Science shareholders at a predetermined exchange ratio. This move will consolidate equity stakes held by HLB Life Science in various subsidiaries, allowing their financial performance to directly impact HLB’s overall corporate value. Additionally, the integration is expected to streamline operations, particularly in drug development and healthcare, by leveraging HLB Life Science's expertise in research and development.

A key strategic advantage of the merger lies in consolidating Rivoceranib’s licensing rights and revenue streams, which will enhance profitability and accelerate the domestic approval process. If HLB secures global approvals for its cancer treatments, shareholders from both companies stand to benefit from increased dividends and stock value. The final merger decision will be made at HLB’s board meeting on June 12, followed by a shareholder meeting for HLB Life Science, with the merger expected to take effect on August 1. Nam Sang-woo, Vice Chairman of HLB Group, emphasized that this move will strengthen synergies in talent and technology while expediting FDA and domestic approvals for Rivoceranib, ultimately boosting corporate value.
